Rainforest Tile™ Sales Terms and Conditions Rev 2.6 Date 12-31-08

1. By clicking on the "I agree" button of www.ownforest.com, I hereby accept the following Terms and Conditions of Rainforest Tile™ sales. I agree that these terms and conditions are subject to change for future Tile sales.

2. I agree to refrain from personalizing my Tile "billboards" with personal data that I do not want other people to see. I agree to hold Warrior Earth S.A.C. harmless against any damages or liability that might arise from other people being able to view photos or text that are used to personalize my Tile(s). I agree to refrain from personalizing my Tile "billboards" using profane text or offensive or explicit images, photos or graphics. Warrior Earth S.A.C. and ownforest.com reserve the right to remove and delete any such data from our computer servers. Warrior Earth S.A.C. reserves the right to prosecute violators to the fullest extent of the law.

3. I agree that my Tile ownership will expire after 10 years from date of purchase, or for gift cards, 10 years after the date of redemption of the gift card. After 10 years the ownership of the land reverts back to Warrior Earth S.A.C. and the Title deed becomes null and void. This paragraph does not apply to Tiles sold before 12-31-08

4. I agree that Tiles are sold in three sizes. Tiles marked as 5600 Square Feet are more exactly 5,625 Square Feet of land in the shape of 75 feet by 75 feet, or approximately 0.1291 U.S. acres (slightly more then 1/8 acre of Rainforest). Tiles marked as 1400 Square Feet are more exactly 1,406.25 Square Feet of land in the shape of 37.5 feet by 37.5 feet, or approximately 0.03228 acres of Rainforest. Tiles marked as 350 Square Feet are more exactly 351.56 Square Feet of land in the shape of 18.75 feet by 18.75 feet, or approximately 0.00807 acres of Rainforest.

5. As a Tile owner, I agree that Tiles are classified as a novelty and in no way represent an investment or security. I agree that Tiles are not for resale. I agree that Tiles sales are void where prohibited. I agree and accept that I have purchased my Tile(s) for the sole purpose of conservation, and I agree that I have not purchased Tiles for any other reason, legal or illegal.

6. I agree that my ownership of the Tile is for conservation purposes only. I agree that I will not disturb the Tile. I will not walk on the Tile, camp on the Tile, build any structure on the Tile, cut down any trees on the Tile, or harvest any natural resources from the surface of the Tile such as fruits, nuts, latex, or plants. I agree that I will not disturb indigenous people that may already live on the land. I agree that the sequestration rate of 183 lbs of CO2 gas removal per year is an average estimate for a 5600 Square foot rainforest Tile and that the actual sequestration rate for any specific Tile I purchase may vary depending on climate conditions and the location of my Tiles. I agree to not dispute the sequestration rate with Warrior Earth S.A.C. or any divisions of Warrior Earth S.A.C. I accept and understand that Tile ownership can be passed to a named successor owner in the event of the death of the original Tile purchaser. In the event of the death of both owner and successor owner the land ownership passes back to Warrior Earth S.A.C..

7. I agree that I do not own any rights to underground minerals beneath my Tile. I agree that Ownforest.com, Warrior Earth S.A.C. or divisions of Warrior Earth S.A.C. (or in some cases the government of the foreign country where the Tile is located) reserves the rights to underground minerals, oil, and gas beneath the surface of the Tile. I agree to wave all rights to income derived from resources mined from under Tiles.

8. I agree to give permission to Warrior Earth S.A.C. or its divisions or associates to fly over my Tile with aircraft, for the purpose of eco-tourism, security patrol, and aerial photo missions.

9. I agree as a Tile owner to indemnify and hold Warrior Earth S.A.C. and it's divisions harmless from and against all claims, losses, damages, liabilities and expenses (including without limitation, attorney fees) in connection with Rainforest Tiles.

10. Warrior Earth S.A.C. and it's divisions hereby agrees to indemnify and hold Tile owner and successor owner harmless from and against all claims, losses, damages, liabilities and expenses (including without limitation, attorney fees) arising at any time out of the breach of, or failure to perform any obligation of Warrior Earth S.A.C. in connection with the Rainforest Tiles.

11. As a Tile Owner, I agree to non-warranty of land condition: Warrior Earth S.A.C. will make every effort to provide customers with parcels of land that contain mostly Rainforest trees, but cannot guarantee the number of trees per Tile. As a Tile owner, I agree to accept my land as issued to me, regardless of the number of actual trees per Tile, since some Tiles may contain a mixture of trees, ponds and other vegetation.

12. Quality of Aerial or satellite imagery: Warrior Earth S.A.C. makes every effort possible to obtain high resolution images for rainforest Tile lands to support the on-line Tile viewing software. As a Tile owner I agree to accept the quality of the rainforest images provided at the time of purchase. As better resolution imagery is added to our websites, improved forest images will be made available to Tile owners. With the best commercial-grade resolution available today, individual tree tops are visible. However, if your Tile is in an area of lower quality imagery, you agree to accept the Tile.

13. Tile customers indemnify and hold ownforest.com and Warrior Earth S.A.C. harmless against loss due to Tiles that they own being affected by an act of God or nature including, but not limited to the following: forest fires, floods, hurricanes, tornadoes, drought, tsunami, wars, or other disasters.

14. As a Tile customer, I agree to buy or return Tiles using only the Warrior Earth S.A.C. website: www.ownforest.com. Tiles may not be sold, returned, or re-sold through e-bay&trades;, realtors, or any other 3rd party brokers or 3rd party Internet web sites.

15. I agree that when I purchase Tile(s), I am allowing the website ownforest.com to charge my credit card or electronic check for the current price of Tiles, and the land tax fee and sales tax if applicable for the state I live in.

16. I agree that if I am not satisfied with my Tile purchase, for any reason, I am entitled to a full 100% refund of my purchase price for up to 30 days after the original purchase date of the Tile(s), or date of redemption for gift card Tiles. I agree that after 30 days all sales are final and non-refundable.

17. I agree that if I return a Tile, I will not continue to take credit for the carbon sequestration for that Tile, since Warrior Earth S.A.C. will resell the Tile to another customer, who will instantly assume full benefit of the sequestration.

18. I agree that if I have already taken credit for a one-time lump sum sequester (pounds of CO2 absorption) from my Tile(s) where that lump sum sequester is based on future years sequester value accelerated into the present, that I cannot return my Tile for a refund.

19. I agree that Warrior Earth S.A.C. may send me a copy of the title deed using email. I agree and accept all the terms, conditions, easements deed restrictions and responsibilities of the electronic copy of the Title Deed sent to me via email.

20. Tile Buyer agrees and accepts that their name, marital status, and address will appear printed on the actual Title Deed to their rainforest Tile in Spanish or Portuguese language, and will be filed in the foreign country courthouse or Notary office where land Title Deeds are lawfully filed with that foreign government.

21. I agree that the registration of the Title Deed to the rainforest Tile will be recorded at a local Notary office of registration in the rainforest foreign country or state by Warrior Earth S.A.C. or a division of Warrior Earth S.A.C. incorporated in the foreign country, or its Trustee, or authorized representative citizen in that foreign country. I agree and accept that it can take up to 120 days for paperwork processing until the Notary office in the foreign country has the paper Title Deed available on file. 22. Tile Buyer agrees and accepts that their name may appear along with the names of other Tile buyers listed in bulk in the same Title Deed document as a way to reduce paperwork costs in the foreign country.

23. Title Buyer understands and agrees that the symbol [] is used in this document as a place holder for missing text that will be added to the Tile Buyer's Deed(s) automatically by computer.

24. Tile buyer understands and agrees that personal information collected during the checkout process will be used by Warrior Earth S.A.C. software to fill in missing text in Title Deed documents that will be prepared in the Tile owner's behalf by Warrior Earth S.A.C..

25. Tile buyer understands and agrees that Warrior Earth S.A.C. computer software will automatically choose the next Tile location available for sale using computer automated land parcel indexing algorithms.

26. Tile buyer understands and agrees that Warrior Earth S.A.C. computer software may re-assign a Tile to a new buyer that was previously owned, but returned by a former Tile owner. Software may also re-assign a Tile to a new owner if the title deed has expired under the old owner.

27. The following Example title deeds in English and Spanish cover only Tiles purchased having Tile ID #'s within the following range: T8001,000,000,001 to T8004,999,999,999 located in Peru only.

28. Tile Buyer agrees and accepts that the Electronic Copy of Title Deed that they receive via email will be of the same format and wording as the example Title Deeds shown below in English and Spanish with the exception that many Tile buyers will be listed in bulk in the same Title Deed document as a way to reduce paperwork costs in the foreign country.

29. Tile Buyer agrees and accepts the following terms and conditions of the "Example Electronic Copy of Title Deed" shown below as translated into English from the original Title Deed as filed in Spanish in the foreign country. Tile buyer accepts that the actual Title deed filed in the rainforest country of Peru, having the Tile owner's name included and being on file at the Notaria's office will filed in Spanish language only.

Please extend you in your Public Registry of Deeds, a donation, which provide a portion Warrior Earth SAC, with RUC No. 20493767586, residing at No. 890 Calle Yavarí - A district in Iquitos, in the province of Maynas, Loreto Region Duly represented by: Paul Douglas Stoner, identified with Passport from the United States No. 720091122, in his capacity as General Manager, according to authorities empowered to effect enrolled in the Electronic Item No. 11026107 of the Register of Legal Persons of Iquitos; who henceforth will be known as "Warrior Earth" or "the donor"

and moreover person known as

[John Doe], of [American] nationality, [married], identified with [passport No. 110091122], residing at [1420 Briarcliff Dr. Powell, state of Ohio]; who hereinafter referred to as "The owner of the Rainforest Tile(s)" or "donee" the same as that afforded under the terms and conditions:

First: Background

1.1. Warrior Earth transfers a portion of rustic terrain called "T8001", whose boundaries, measurements and other features are contained within rustic terrain known as Jay Alay owned by Warrior Earth SAC, having its current enrollment in the Electronic Item No. 04000018 Registry Real Property Registry of Zone No. IV Maynas - Headquarters Iquitos (hereinafter the "plots T8001").

Second: objects

Through this document Warrior Earth transfers the following:

1. Transfer the plot T8001,000,000,001, grant, in favor of [John Doe], in accordance with the provisions of the Eighth and Ninth clauses of this document. This transfer is valid for a period of 10 years, starting on [purchase/redeem date] and ending on [date of 10 years later], after which date ownership of the plot transfers back to Warrior Earth. This plot comprises the area referenced by its Northwest corner at Latitude _______ and Longitude ______ and is valued at S/. 284.85 Peruvian New Soles, or $100.00 US Dollars (May 2008 exchange rate). Persons mentioned in this relationship are donee's and hereafter are referred to as the owners of Rainforest Tiles.

Third: The donation

It leaves a record that expresses the transfer of ownership of the parcels described in the preceding clause, is as donation for the period there established, which is done through the signing of this document covers the full ground rustic, improvements existing uses, Customs, easements, entrances and exits, and generally everything right and indeed their rightful use. Sixth: The obligations of Warrior Earth

Pursuant to the signing of this document obliges Warrior Earth: Deliver, via email, all documents relating to the ownership and use of the plots to the owners of the Rainforest Tile(s) corresponding according to the relationship before the calusula Two of this document no later than ninety (90) days calendars.

Seventh: The obligations and restrictions

The owners of Rainforest Tiles may not, either directly or indirectly, put any kind of structure or construct any building within the plot that is appropriate for the relationship contained in the second clause of this document.

The owners of Rainforest Tiles may not, either directly or indirectly remove, cut, burned, cut, break down and / or destroy existing vegetation within the parcel that is appropriate for the relationship contained in the second clause of this document, except for those plants that endanger people's lives or the existence of the plot.

The owners of Rainforest Tiles may not, either directly or indirectly carry out mining activities, petrolíficas or any other activity involving the alteration of the surface of the plot that is appropriate for the relationship contained in the second clause of this document .

The owners of Rainforest Tiles may not, either directly or indirectly, accumulate, hurl and / or placing debris or rubbish in the plot that is appropriate for the relationship contained in the second clause of this document.

The owners of Rainforest Tiles may not, either directly or indirectly altered under any circumstances, water resources that are within the plot that is appropriate for the relationship contained in the second clause of this document.

The owners of Rainforest Tiles may not, either directly or indirectly operate motor vehicles within the plot that is appropriate for the relationship contained in the second clause of this document, except for those who move by the river.

The owners of Rainforest Tiles, either directly or indirectly may place, planting, painting or carving any sign within the plot that is appropriate for the relationship contained in the second clause of this document. This prohibition does not apply to those signs indicate that:

(i) the name and address of the plot T8001, (ii) the area of the plot is properly protected by the provisions of this clause, and (iii) a ban on entering the plot that is appropriate for the relationship contained in the second clause of this document and / or dispose of any of the resources that are inside it.

The owners of Rainforest Tiles may not, either directly or indirectly carry out any activity involving the alteration of the remains of Aboriginal-understood them as widely as possible-which are within the plot that is appropriate for the relationship in the second clause of this document.

Eighth: the conditions of the donation

Ninth: renunciation of reversal

Warrior-T8 explicitly states that except as provided in paragraph immediately following the reversion-renunciation of the donation made pursuant to this document; accordingly, the owners of Rainforest Tiles, from the acceptance referred to in third paragraph of the immediately preceding clause, may freely dispose of the property on which the plot is appropriate for the relationship contained in the second clause of this document.

Without prejudice to the immediately preceding paragraph, makes explicit evidence that Warrior Earth may seek the reversal of this donation comes to verify if any of the owners of those in the jungle with any breach of obligations under Seventh Clause of this document.

Tenth: the applicable law and dispute settlement

The parties stipulate that in any way not anticipated and provided hereunder shall apply the provisions: (i) the 1621 fourth and subsequent articles of the Civil Code Peruano on the donation, and (ii) in other laws applicable to This type of contract in the legal system of the Republic of Peru.

Any dispute, controversy, dispute or claim arising out, related or derived from the execution or interpretation of this document or in connection with the same, including those relating to their validity, effectiveness or termination is expressly subject to the jurisdiction of judges and courts in the province of Maynas - Loreto region.

Under the stipulations of the immediately preceding paragraph, the parties must take into account as legal domicile and validly constituted for the event-Warrior-T8 as reflected in the introductory part of this document. It also makes explicit evidence that Warrior Earth should take into account as legal domicile and validly constituted for the case-the owners of Rainforest Tiles-one home as may be specified in the notice referred to in the third paragraph of the second clause this document.

Eleventh: Separation of clauses

The parties recorded that the clauses contained in this document are separable and that the invalidity, disability or ineffectiveness of one or more of them will not be detrimental to the other. Also, it is the parties' intention to replace any word, paragraph or provision invalid, void or voidable by a clause or paragraph valid and enforceable in terms as much as possible similar to the clause or paragraph invalid, void or voidable.

Therefore, assuming that any section or provision of this document was declared invalid or not enforceable by any court, judge or arbitrator competent authority, the parties agree on its replacement by another clause valid but with some terms and-effect legal and - the most economic potential equivalent to the original paragraph or clause.

Twelfth: of expenditure

All notary and registration expenses arising out of this donation, including the testimony of Scripture Public herein origine, for each party shall charge and account Warrior Earth.

Sírvase usted extender en su Registro de Escrituras Públicas, una de donación, que otorgan de una parte Warrior Earth S.A.C., con RUC N° 20493767586, con domicilio en Calle Yavarí N° 890 - A, distrito de Iquitos, provincia de Maynas, Región Loreto, debidamente representada por don: Paul Douglas Stoner, identificado con Pasaporte de los Estados Unidos de Norteamérica N° 720091122, en su calidad de Gerente General, facultado al efecto según poderes inscritos en la Partida Electrónica N° 11026107 del Registro de Personas Jurídicas de Iquitos; a quien en adelante se le denominará "Warrior Earth" o "LA DONANTE"; y por otra parte la persona de

PRIMERA: ANTECEDENTES

1.1. Warrior Earth transfiere una porción del terreno rústico denominado "T8001"; cuyos linderos, medidas perimétrica y demás características se encuentran contenidas en el terreno rústico denominado "Jay Alay" de propiedad de Warrior Earth SAC, el mismo que se encuentra inscrito en la Partida Electrónica N° 04000018 del Registro de Propiedad Inmueble de la Zona Registral N° IV de Maynas - Sede Iquitos (en adelante, la "PARCELA T8001").

SEGUNDA: OBJETO

Por medio del presente documento Warrior Earth hace las siguiente transferencia en calidad de donacion:

1.Transfiere la PARCELA T8001,000,000,001, a titulo de donación, a favor de don John Doe, conforme a las disposiciones establecidas en las cláusulas Octava y Novena de este documento. Dicha donación se efectúa por el plazo de diez (10) años contados desde [?] hasta [?], inclusive; plazo luego del cual dicha parcela volverá al patrimonio de Warrior Earth. Esta parcela comprende el área ubicada en la latitud _____ y em la longitud ______ y esta valorizada en S/. 284.85 or US $100.00 Dollars (según tipo de cambio promedio del mes de Mayo de 2008).

La persona mencionada en la presente relacion sera denominada como "LOS DUEÑOS DE LA LOSA DE LA JUNGLA" o "EL DONATARIO"

TERCERA: DE LA DONACIÓN

Se deja expresa constancia que la transferencia de la propiedad de las parcelas descritas en la clausula anterior, es en calidad de donación, por el plazo allí establecido, la misma que se realiza mediante la suscripción del presente documento, comprende el íntegro del terreno rústico, las mejoras existentes, los usos, costumbres, servidumbres, entradas y salidas, y en general todo cuanto de hecho y por derecho les corresponde..

Asimismo, queda claramente establecido que la transferencia de dichas parcelas, incluye todas las obligaciones y restricciones establecidas en el presente documento.

CUARTA: DE LAS DECLARACIONES Y ASEVERACIONES DE WARRIOR EARTH

Warrior Earth declara, a la fecha de suscripción del presente documento, que: (i) las parcelas descritas en la clausula segunda del presente documento se encuentran desocupadas y sin algún tipo de construcción; y, (ii) salvo por las obligaciones y restricciones establecidas en la cláusula Séptima del presente documento y por el plazo señalado en la cláusula segunda del presente contrato, no pesa algún gravamen, carga, hipoteca, embargo, ni medida judicial o extrajudicial sobre las mencionadas parcelas, que en alguna forma limite o restrinja su derecho de propiedad y libre disposición; sin perjuicio de ello, Warrior Earth se obliga al saneamiento de evicción, que comprenderá todos los conceptos previstos en el Código Civil Peruano.

QUINTA: DEL PAGO DE LAS OBLIGACIONES CORRESPONDIENTES A LAS PARCELAS

Las partes acuerdan que cualquier obligación de pago vinculada a las parcelas señaladas en la clausula segunda del presente documento que se hubiesen generado con anterioridad a la fecha de suscripción del presente documento o que se genere con posterioridad a la misma, serán asumidos, en su integridad, por Warrior Earth

SEXTA: DE LAS OBLIGACIONES DE WARRIOR EARTH

En virtud a la suscripción del presente documento, Warrior Earth se obliga a:

Entregar, via email, todos los documentos relativos a la propiedad y uso de las parcelas a los DUEÑOS DE LA LOSA DE JUNGLA correspondientes conforme a la relacion obrante en la clausula segunda del presente documento, en un plazo no mayor de noventa (90) días calendarios.

SÉPTIMA: DE LAS OBLIGACIONES Y RESTRICCIONES

Las partes dejan expresa constancia que LOS DUEÑOS DE LA LOSA DE LA JUNGLA, para el ejercicio de cualquiera de las atribuciones propias del derecho de propiedad que ejerceran sobre las parcelas descritas en la clausula segunda del presente documento, deberán tomar en cuenta las siguientes obligaciones y restricciones:

LOS DUEÑOS DE LA LOSA DE LA JUNGLA se comprometen a no realizar, ni de manera directa ni indirecta, ningun tipo de actividad comercial dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán realizar, ni de manera directa ni indirecta, ningun tipo de actividad industrial -entendiéndose la misma de la manera más amplia- dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán , ni de manera directa ni indirecta , colocar ningun tipo de estructura o construir ninguna clase de edificacion dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán , ni de manera directa ni indirecta remover, cortar, quemar, talar, derribar y/o destruir la vegetación existente dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, salvo para el caso de aquellas plantas que pongan en peligro la vida de las personas o la existencia de la parcela..

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán, ni de manera directa ni indirecta realizar actividades mineras, petrolíficas o cualquier otra actividad que implique la alteración de la superficie de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán, ni de manera directa ni indirecta, acumular, botar y/o colocar desechos o desperdicios dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán, ni de manera directa ni indirecta alterar, bajo ninguna circunstancia, los recursos hidrológicos que se encuentran dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán, ni de manera directa ni indirecta operar vehículos motorizados dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, salvo por aquellos que se desplacen por el rio.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA , ni de manera directa ni indirecta podrán colocar, plantar, pintar o tallar letrero alguno dentro de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.. Dicha prohibición no es aplicable para aquellos letreros que indiquen: (i) el nombre y la dirección de la PARCELA T8001; (ii) que el área de la PARCELA se encuentra debidamente protegida por lo establecido en la presente cláusula; y, (iii) la prohibición de entrar a la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento y/o disponer de cualquiera de los recursos que se encuentran dentro de la misma.

LOS DUEÑOS DE LA LOSA DE LA JUNGLA no podrán, ni de manera directa ni indirecta realizar cualquier actividad que implique la afectación de los restos aborígenes -entendidos éstos de la manera más amplia posible- que se encuentran dentro de la PARCELA que corresponda segun la relahttp://www.ownforest.com/terms/cion contenida en la clausula segunda del presente documento.

7.2 Las partes dejan expresa constancia que LOS DUEÑOS DE LA LOSA DE LA JUNGLA, así como aquellas personas que adquieran -mediante cualquier acto jurídico- alguna de las atribuciones propias del derecho de propiedad sobre la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, deberán permitir a los miembros de las tribus indígenas nativas del área de la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, el uso y disfrute de la misma.

Asimismo, las partes dejan claramente establecido que cualquier acto de disposición que implique la transferencia y/o cesión de alguna de las atribuciones propias del derecho de propiedad sobre la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, deberá sujetarse a las restricciones y obligaciones establecidas en la presente cláusula.

OCTAVA: DE LAS CONDICIONES DE LA DONACIÓN

Cada terreno de la PARCELA T8001, donado a favor de LOS DUEÑOS DE LA LOSA DE LA JUNGLA descritos en la clausula segunda del presente documento, se identificará por una latitud/longitud única; para dicho efecto, el terreno a calcularse tomará como punto de partida la latitud/longitud noroccidental del terreno y comenzará a computarse conforme a los siguientes datos.

En virtud a lo anteriormente señalado, el terreno de la PARCELA T8001 que le corresponderá recibir a cada uno de LOS DUEÑOS DE LA LOSA DE LA JUNGLA ascenderá a 0.050607 hectáreas y será identificado conforme a lo establecido en la clausula segunda del presente documento.
Asimismo, se deja expresa constancia que LOS DUEÑOS DE LA LOSA DE LA JUNGLA podrán recibir más de un terreno de la PARCELA T8001.

Sin perjuicio de ello, queda claramente establecido que los efectos que genere el presente documento quedan condicionados a que LOS DUEÑOS DE LA LOSA DE LA JUNGLA expresen -de manera conjunta y por escrito- la voluntad de aceptar la presente donación y recibir la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento, en los términos y condiciones pactados en el presente documento.

NOVENA: RENUNCIA A LA REVERSIÓN

Warrior Earth declara expresamente que -salvo por lo establecido en el párrafo inmediato siguiente- renuncia a la reversión de la donación efectuada en virtud al presente documento; en consecuencia, LOS DUEÑOS DE LA LOSA DE LA JUNGLA, a partir de la aceptacion mencionada en el tercer párrafo de la cláusula inmediata anterior, podrán disponer libremente de la propiedad sobre la PARCELA que corresponda segun la relacion contenida en la clausula segunda del presente documento.

Sin perjuicio de lo establecido en el párrafo inmediato anterior, se deja expresa constancia que Warrior Earth podrá solicitar la reversión de la presente donación en caso llegue a verificar que alguno de LOS DUEÑOS DE LA LOSA DE LA JUNGLA incumple con cualquiera de las obligaciones establecidas en la cláusula Séptima del presente documento.

DÉCIMA: DE LA LEGISLACIÓN APLICABLE Y LA SOLUCIÓN DE CONTROVERSIAS

Las partes establecen que en todo lo no previsto y estipulado en el presente documento, será de aplicación lo estipulado en: (i) los artículos 1621° y siguientes del Código Civil Peruano sobre la donación; y, (ii) en las demás leyes aplicables para este tipo de contrato en el ordenamiento jurídico de la República del Perú.

Todo litigio, controversia, desavenencia o reclamación resultante, relacionada o derivada de la ejecucion o interpretacion del presente documento, o que guarde relación con el mismo, incluidas las relativas a su validez, eficacia o terminación será sometida expresamente a la jurisdicción de los jueces y tribunales de la Provincia de Maynas - Región Loreto; para tal efecto, las partes renuncian al fuero de sus domicilios.

En virtud a lo establecido en el párrafo inmediato anterior, las partes deberán tener en cuenta como domicilio legal y válidamente constituidos -para el caso de Warrior Earth-el señalado en la parte introductoria del presente documento. Asimismo, se deja expresa constancia que Warrior Earth deberá tener en cuenta como domicilio legal y válidamente constituido -para el caso LOS DUEÑOS DE LA LOSA DE LA JUNGLA- aquel domicilio que se señale en la comunicación mencionada en el tercer párrafo de la cláusula segunda de este documento.

DÉCIMO PRIMERA: SEPARABILIDAD DE LAS CLÁUSULAS

Las partes dejan constancia que las cláusulas contenidas en el presente documento son separables y que la nulidad, invalidez o ineficacia de una o más de ellas no perjudicará a las restantes. Asimismo, es la intención de las partes sustituir cualquier término, apartado o cláusula inválida, nula, o anulable por una cláusula o apartado válido y exigible en unos términos lo más similares posible a la cláusula o apartado inválido, nulo o anulable. Por ello, en el supuesto de que cualquier apartado o cláusula del presente documento fuera declarado nulo o no exigible por un tribunal, juez, autoridad o árbitro competente, las partes acordarán su sustitución por otra cláusula válida pero con unos términos y efecto -legal y económico- lo más equivalentes posibles a los del apartado o cláusula original.

DÉCIMO SEGUNDA: DE LOS GASTOS

Todos los gastos notariales y regístrales que se deriven de la presente donación, incluyendo los testimonios de la Escritura Pública que el presente documento origine, para cada una de las partes, serán de cargo y cuenta de Warrior Earth. Agregue usted, Señor Notario, lo demás que fuere de ley y cuide de enviar los partes correspondientes a los Registros Públicos correspondientes para la inscripción del presente documento.

En señal de conformidad, Warrior Earth firma el presente documento el día [*] del mes de [*] de 2008.
