Rainforest Tile™ Sales Terms and Conditions Rev 2.1 Date 06-18-08

1. I Agree that as a customer of www.ownforest.com a website owned and operated of Warrior Earth, LLC, I Accept the following Terms and Conditions of Tile™ sales. I Agree that these terms and conditions are subject to change for future Tile sales.

2. I Agree to refrain from personalizing my Tile “billboards” with personal data that I do not want other people to see. I Agree to hold Warrior Earth, LLC harmless against any damages or liability that might arise from other people being able to view photos or text that are used to personalize my Tile(s).

3. I Agree to refrain from personalizing my Tile “billboards” using profane text or offensive or explicit images, photos or graphics. Warrior Earth, LLC and ownforest.com reserve the right to remove and delete any such data from our computer servers. Warrior Earth, LLC will prosecute violators to the fullest extent of the law. No refunds will be given to customers who violate this rule.

4. I Agree to the following product definition of a Tile: A Tile is defined as approximately 0.1293 U.S. acres of land (slightly more then 1/8 acre) in the shape of 75 feet by 75 feet of land.

5. As a Tile owner, I Agree and accept that I have purchased my Tile(s) for the sole purpose of receiving one or more of the following benefits of the Tile product, and I attest that I have not purchased Tiles for any other reasons, legal or illegal:

A) Tile ownership preserves and protects the endangered rainforest from being destroyed.
B) Tile ownership may in some cases protect rainforest land that has indigenous Indian people living on it. I Agree that these people may continue to live on the land.
C) A rainforest Tile absorbs (sequester) carbon dioxide from the earth’s atmosphere and releases fresh, breathable oxygen. Each 1/8 acre Warrior Earth Tile absorbs an average of 183 lbs of CO2 gas from the atmosphere per year. I agree that the sequestration rate of 183 lbs of CO2 gas removal per year is an average estimate, and that the actual sequestration rate for any specific Tile I purchase may vary depending on climate conditions and the location of my Tiles. I will not dispute the sequestration rate with Warrior Earth, LLC or any divisions of Warrior Earth, LLC.
D) I accept and understand that Tiles can be passed on to future generations by naming a successor owner to possess a Tile, in the event of the death of the original Tile purchaser.

6. I Agree to the following use of Tiles:
As a Tile owner, I Agree that I will not disturb the surface of the Tile, including, but not limited to: walking on the Tile, camping on the Tile, building any structure on the Tile, cutting down any trees on the Tile, harvesting any natural resources from the surface of the Tile such as fruits, nuts, latex, plants for medical use, etc.

7. I Agree that Ownforest.com, Warrior Earth, LLC or divisions of Warrior Earth, LLC, (or in some cases the government of the foreign country where the Tile is located) reserves the rights to underground minerals, oil, and gas beneath the surface of the Tile.

8. As a Tile owner I agree to wave all rights to income derived from resources mined from under Tiles.

9. As Tile owner, I Agree to give Warrior Earth, LLC and its employees or contractors permission to fly over my Tile with aircraft, at low altitude, for the purpose of eco-tourism, security patrol, and aerial photo missions.

10. As Tile owner I Agree to give Warrior Earth, LLC and its employees or contractors permission to set foot on the property for security patrol reasons, or to perform rescue operations, or to remove illegal trespassers from the property.

11. As Tile Owner, I agree to non-warranty of land condition: Warrior Earth, LLC will make every effort to provide customers with parcels of land that contain mostly trees. Customers who elect special purchase options may receive Tiles containing lakes, streams, and rivers at additional cost.

12. Quality of Aerial or satellite imagery: Warrior Earth. LLC makes every effort possible to obtain high resolution images for rainforest Tile lands in support of the on-line Tile viewer programs. As a customer, you agree to accept the quality of image that was available for your Tile at the time of purchase. As better resolution imagery is added to our websites, these images will be available to for all Tile owners. With the best commercial-grade resolution available today, individual tree tops are visible. However, if your Tile is in an area of lower quality imagery, you agree to accept the Tile. If your Tile is located in a region of very poor resolution, you can browse the viewer to a nearby higher resolution location containing similar trees to view the type of terrain and forest coverage that is in the same region as your Tile.

13. Tile customers hold ownforest.com and Warrior Earth, LLC harmless against loss due to Tiles that they own being affected by an act of God or nature including, but not limited to the following: forest fires, floods, hurricanes, tornadoes, drought, tsunami, etc. When it is practical to do so, Warrior Earth LLC, at its sole discretion, will make every reasonable effort to substitute a new Tile for a damaged Tile.

14. As a Tile customer, I agree to buy or return Tiles using only the Warrior Earth, LLC website: www.ownforest.com. Tiles may not be sold, returned, or re-sold through e-bay™, realtors, or any other 3rd party brokers or 3rd party Internet web sites.

15. I agree that when I purchase tile(s), I am allowing the website ownforest.com to charge my credit card or electonic check for the current price of tiles, and the land tax fee and sales tax if applicable for the state I live in.

16. 30-day money back guarantee: I agree as a Tile customer that if I am not satisfied with my Tile purchase, for any reason, I am entitled to a full 100% refund of my purchase price for 30 days after the original purchase date of the Tile(s).

17. I Agree that if I click to return my Tile(s) after more than 30 days from date of purchase, that my original purchase price of the Tiles will be refunded less a 7% re-marketing fee.

18. I Agree that if I return a Tile, I will not continue to take credit for the carbon sequestration for that Tile, since Warrior Earth, LLC will resell the Tile to another customer, who will instantly assume full benefit of the sequestration.

19. I Agree that if I have already taken a one-time lump sum sequester (pounds of CO2 absorption) from my Tile(s) where that lump sum sequester is based on future years sequester value accelerated into the present, that I cannot return my Tile for a full or partial refund.

20. I Agree to receive my title deed to my rainforest Tile via e-mail transmission issued by Warrior Earth, LLC.

21. I Agree that the registration of the Title Deed to the rainforest Tile will be recorded at the local Notary office of registration in the rainforest foreign country or state by Warrior Earth, LLC, or a division of Warrior Earth, LLC incorporated in the foreign country, or its Trustee, or authorized representative citizen in that foreign country.

22. As a Tile owner, I Agree to accept the terms, conditions, and responsibilities of the electronic copy of the Title Deed documents, including the electronic copy of the Title Deed delivered to me via email. I Agree to the terms of the Title Deed and all easements and Deed restrictions set forth in the Title Deed.

23. Tile Buyer agrees and accepts that their name, marital status, and address will appear printed on the actual Title Deed to their rainforest Tile in Spanish or Portuguese language, and will be filed in the foreign country courthouse or Notary office where land Title Deeds are lawfully filed with that foreign government.

24. Tile buyers agree that it can take up to 90 days for paperwork processing until the Notary office in the foreign country has the paper Title Deed available on file. 25. Tile Buyer agrees and accepts that their name may appear along with the names of other Tile buyers listed in the same Title Deed document as a way to reduce paperwork costs in the foreign country.

26. Title Buyer understands and agrees that the symbol: [] is used in this “I Agree” terms and conditions document as a place holder for “missing text” that will be added to the Tile Buyer’s Deed(s) automatically.

27. Tile buyer understands and agrees that personal information collected during the checkout process will be used by Warrior Earth, LLC software to fill in “missing text” ([] ) in Title Deed documents that will be prepared in the Buyers behalf by Warrior Earth, LLC.

28. Tile buyer understands and agrees that Warrior Earth, LLC computer software will automatically choose the next Tile location available for sale using proprietary indexing algorithms.

29. Tile buyer understands and agrees that Warrior Earth, LLC computer software may assign a Tile to the buyer that was previously returned by a former buyer.

30. Tile Buyer agrees and accepts the following terms and conditions of the “Example Electronic Copy of Title Deed” as translated into English of the Title Deed as filed in Spanish in the foreign country.

31. The following English translation covers only Tiles purchased having Tile ID #’s within the following range: T8001,xxx,xxx,xxx to T8010,xxx,xxx,xxx located in Peru only.

32. Tile buyer agrees that the actual Title deed filed in the rainforest country of Peru, having the Tile owner’s name included and being on file at the Notaria’s office, will be in the oficial language of Spanish (Peru Rainforest Tiles only).

33. Tile Buyer agrees and accepts that the email Title Deed they receive via computer automation will be substantially of the same format and wording as the example Title Deed shown below.

Mr Notary:

Please extend you in your Public Registry of Deeds, one for which establishes the gift (the "Agreement") that celebrates WARRIOR T8 SAC, with RUC No. [], residing at [] district [] province [] department [], duly represented by Paul Douglas Stoner, identified with Passport from the United States No. 720091122, empowered to operate as powers enrolled in the seat [] of Item No. Electronics [] Registration of Persons Legal []; who henceforth will be known as "WARRIOR T8" the same as that afforded under the terms and conditions:

First: Background

1.1. WARRIOR T8 owns rustic terrain called "T8001", whose boundaries, measurements and other features perimeter and from its current enrollment in the Electronic Item No. [] Registry Real Property Registry of Zone No. IV of Maynas - Headquarters Iquitos ( hereinafter "plots T8001").

1.2. It was recorded that the plot T8001 is valued at S /. 15000.00 (Fifteen thousand New Soles with 00/100), according to-date appraisals made [] - [].

Second: objects

Through the contracts, WARRIOR T8 transferred the plot T8001, a grant basis, in favour of the persons listed in Annex 1 of the contract (the "donee"), and in accordance with the provisions set out in clauses Eighth and Ninth Contract

Third: the donation

It leaves a record that expresses the transfer of ownership of the plot T8001, as a donation, which is done by signing the contract, covers the entire field of rustic, improvements existing uses, customs, easements, tickets and exits, and generally everything right and indeed it is incumbent upon the plot T8001.

Also, it is clear that the transfer of these parcels T8001, includes all obligations and restrictions set forth in the contract.

Fourth: of statements and assertions WARRIOR T8

WARRIOR T8 states, the date of signing the contract, that: (i) the plot T8001 is unemployed and without any kind of construction, and (ii) except for the obligations and restrictions set forth in the Seventh clause of the contract of sale , Does not weigh any charge, charging, mortgage, however, neither a judicial or extrajudicial about the plot T8001, which in any way limiting or restricting their right of ownership and free disposal; without prejudice to this, WARRIOR T8 are forced to sanitation eviction , Comprising all the concepts under the Peruvian Civil Code.

Fifth: the payment of obligations corresponding to the plot T8001

Sixth: the obligations of WARRIOR T8

Pursuant to the signing of this contract, WARRIOR T8 undertakes to:

6.1. Deliver the plot T8001, the donee, at the latest within sixty (60) calendar days after receipt of the communication referred to in the third paragraph of the second clause of the contract; act which will be verified with the physical delivery of possession of the plots T8001.

6.2. Providing all documents relating to the ownership and use of the plot T8001 and also undertakes to sign all those public documents and / or private necessary in order to formalize the transfer of the plot T8001 pro-donee.

Seventh: the obligations and restrictions

7.1. The left parties said that the record donee, for the exercise of any of the powers themselves the right of ownership over the plot T8001, should take into account the following obligations and restrictions:
 
7.1.1. The T8001 plots must be kept under the same conditions as is the date of signing of contracts; pursuant to this, the donee must perform all acts necessary to preserve natural resources, minerals, historical, geological and water for themselves Plot T8001.

7.1.2. The donee or any other third party may not take place some kind of commercial activity within the plot T8001, the above does not apply to those businesses recreational minimum in no way affect the own resources of the plot T8001.

7.1.3. The donee or any other third party may not take place some kind of industrial activity-the same understanding of the widest-T8001 in the plot.

7.1.4. The donee or any other third person may not place any structure or building plots within the T8001.

7.1.5. The donee or any other third party may not remove, cut, cut, break down and / or destroy existing vegetation within the parcel T8001, except for those plants that endanger people's lives or the existence of the Plot T8001.

7.1.6. The donee or any other third party may not carry out mining activities, petrolíficas or any other activity involving the alteration of the surface of the plot T8001.

7.1.10. The donee or any other third person may not place, planting, painting or carving any sign within the plot T8001. This prohibition does not apply to those signs indicate that: (i) the name and address of the plot T8001, (ii) the area of the plot T8001 is duly protected by the provisions of this clause, and (iii ) The prohibition on entering the plot T8001 and / or dispose of any of the resources that are inside it.

7.1.11. The donee or any other third party may not perform any activity involving the alteration of the remains of Aboriginal-understood them as widely as possible-which are within the plot T8001.

7.3. Eighth: the conditions of the donation

Ninth: renunciation of reversal

WARRIOR-T8 explicitly states that except as provided in paragraph immediately following the reversion-renunciation of the donation made under the contract; accordingly, the donee, after receipt of the communication referred to in the third paragraph of the immediately preceding clause, may freely dispose of the property on the plot T8001.

Without prejudice to the immediately preceding paragraph, makes explicit evidence that WARRIOR T8 may seek the reversal of this donation comes to verify if any of the donee with any breach of its obligations under the contract clause Seventh Sales.

Tenth: the applicable law and dispute settlement

The parties stipulate that as much as expected and not stipulated in this contract shall apply the provisions: (i) Articles 1621 and seventh following ¬ ing Peruvian Civil Code on the donation, and (ii) in other laws applicable to this type of contract in the legal system of the Republic of Peru.

Any dispute, controversy, dispute or claim arising, arising out of or related contract or relevant to the same, including those relating to their validity, effectiveness or termination is expressly subject to the jurisdiction of the courts and judges of Loreto, for this purpose The parties waive the immunity of their homes.

Under the stipulations of the immediately preceding paragraph, the parties must take into account as legal domicile and validly constituted for the event-WARRIOR-T8 as reflected in the introductory part of this contract. It also makes explicit evidence that WARRIOR T8 should take into account as legal domicile and validly constituted for the case-the-grantees that address as may be specified in the notice referred to in the third paragraph of the second clause of the contract.

Eleventh: Separation of clauses

The parties recorded that the terms of the contract are separable and that the invalidity, disability or ineffectiveness of one or more of them will not be detrimental to the other. Also, it is the parties' intention to replace any word, paragraph or provision invalid, void or voidable by a clause or paragraph valid and enforceable in terms as much as possible similar to the clause or paragraph invalid, void or voidable. Therefore, assuming that any section or provision of this contract is declared invalid or not enforceable by any court, judge or arbitrator competent authority, the parties agree on its replacement by another clause valid but with some terms and-effect legal and - the most economic potential equivalent to the original paragraph or clause.

Twelfth: of expenditure

All notary and registration expenses arising out of this donation, including the testimony of Scripture that the present Public Contracts for each party shall charge and account WARRIOR T8.

34. Tile Buyer agree’s and accepts the following terms and conditions of the Spanish “Example Electronic Copy of Title Deed” and accepts that this document is representative of the actual document Title Deed (Escritura) that will be filed in Spanish in the foreign country.

Spanish Language “Example Electronic Copy of Title Deed” Follows: (Peru only)

Señor Notario:

Sírvase usted extender en su Registro de Escrituras Públicas, una por la cual conste el CONTRATO DE DONACIÓN (en adelante, el “CONTRATO”) que celebra WARRIOR T8 S.A.C., con RUC N° [], con domicilio en [], distrito de [], provincia de [], departamento de [], debidamente representada por Paul Douglas Stoner, identificado con Pasaporte de los Estados Unidos de Norteamérica Nº 720091122, facultado al efecto según poderes inscritos en el Asiento [] de la Partida Electrónica N° [] del Registro de Personas Jurídicas de []; a quien en adelante se le denominará “WARRIOR T8”; el mismo que se otorga según los términos y condiciones siguientes:

PRIMERA: ANTECEDENTES

1.1. WARRIOR T8 es propietario del terreno rústico denominado “T8001”, cuyos linderos, medidas perimétrica y demás características constan en su inscripción corriente en la Partida Electrónica Nº [] del Registro de Propiedad Inmueble de la Zona Registral Nº IV de Maynas – Sede Iquitos (en adelante, la “PARCELA T8001”).

1.2. Se deja constancia que la PARCELA T8001 se encuentra valorizada en S/. 15,000.00 (Quince mil con 00/100 Nuevos Soles), según tasación efectuada –con fecha []- por [].

SEGUNDA: OBJETO

Por medio del CONTRATO, WARRIOR T8 transfiere la PARCELA T8001, a titulo de donación, a favor de las personas indicadas en el Anexo 1 del CONTRATO (en adelante, los “DONATARIOS”), y conforme a las disposiciones establecidas en las cláusulas Octava y Novena del CONTRATO

TERCERA: DE LA DONACIÓN

Se deja expresa constancia que la transferencia de la propiedad de la PARCELA T8001, en calidad de donación, la misma que se realiza mediante la suscripción del CONTRATO, comprende el íntegro del terreno rústico, las mejoras existentes, los usos, costumbres, servidumbres, entradas y salidas, y en general todo cuanto de hecho y por derecho le corresponde a la PARCELA T8001.

Asimismo, queda claramente establecido que la transferencia de dicha PARCELA T8001, incluye todas las obligaciones y restricciones establecidas en el CONTRATO.

CUARTA: DE LAS DECLARACIONES Y ASEVERACIONES DE WARRIOR T8

WARRIOR T8 declara, a la fecha de suscripción del CONTRATO, que: (i) la PARCELA T8001 se encuentra desocupada y sin algún tipo de construcción; y, (ii) salvo por las obligaciones y restricciones establecidas en la cláusula Séptima del CONTRATO DE COMPRAVENTA, no pesa algún gravamen, carga, hipoteca, embargo, ni medida judicial o extrajudicial sobre la PARCELA T8001, que en alguna forma limite o restrinja su derecho de propiedad y libre disposición; sin perjuicio de ello, WARRIOR T8 se obliga al saneamiento de evicción, que comprenderá todos los conceptos previstos en el Código Civil Peruano.

QUINTA: DEL PAGO DE LAS OBLIGACIONES CORRESPONDIENTES A LA PARCELA T8001

Las partes acuerdan que cualquier obligación de pago vinculada a la PARCELA T8001 que se hubiesen generado con anterioridad a la fecha de suscripción del CONTRATO o que se genere con posterior a la misma, serán asumidos, en su integridad, por WARRIOR T8.

SEXTA: DE LAS OBLIGACIONES DE WARRIOR T8

En virtud a la suscripción del presente CONTRATO, WARRIOR T8 se obliga a:

Entregar la PARCELA T8001, a los DONATARIOS, a más tardar dentro de los sesenta (60) días calendario posteriores a la fecha de recepción de la comunicación mencionada en el tercer párrafo de la cláusula segunda del CONTRATO; acto que se verificará con la entrega física de la posesión de la PARCELA T8001.

Entregar todos los documentos relativos a la propiedad y uso de la PARCELA T8001; asimismo, se obliga a suscribir todos aquellos documentos públicos y/o privados necesarios a fin de formalizar la transferencia de la PARCELA T8001 a favor de los DONATARIOS.

SÉPTIMA: DE LAS OBLIGACIONES Y RESTRICCIONES

7.1. Los partes dejan expresa constancia que los DONATARIOS, para el ejercicio de cualquiera de las atribuciones propias del derecho de propiedad sobre la PARCELA T8001, deberán tomar en cuenta las siguientes obligaciones y restricciones:

La PARCELA T8001 deberá ser conservada en las mismas condiciones que se encuentra a la fecha de suscripción del CONTRATO; en virtud a ello, los DONATARIOS deberán realizar todos aquellos actos necesarios para conservar los recursos naturales, minerales, históricos, geológicos e hídricos propios de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrá realizarse algún tipo de actividad comercial dentro de la PARCELA T8001; lo antes señalado no es aplicable para aquellas actividades comerciales recreacionales mínimas que no afecten de manera alguna los recursos propios de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán realizarse algún tipo de actividad industrial –entendiéndose la misma de la manera más amplia- dentro de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán colocar cualquier tipo de estructura o construir dentro de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán remover, cortar, talar, derribar y/o destruir la vegetación existente dentro de la PARCELA T8001, salvo para el caso de aquellas plantas que pongan en peligro la vida de las personas o la existencia de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán realizar actividades mineras, petrolíficas o cualquier otra actividad que implique la alteración de la superficie de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán acumular, botar y/o colocar desechos o desperdicios dentro de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán alterar, de la manera más amplia posible, los recursos hidrológicos que se encuentran dentro de la PARCELA T8001.

Los DONATARIOS o cualquier otra tercera persona no podrán operar vehículos motorizados dentro de la PARCELA T8001, salvo por aquellos que se desplacen por las vías previamente designadas para el tránsito vehicular y/o peatonal.

Los DONATARIOS o cualquier otra tercera persona no podrán colocar, plantar, pintar o tallar letrero alguno dentro de la PARCELA T8001. Dicha prohibición no es aplicable para aquellos letreros que indiquen: (i) el nombre y la dirección de la PARCELA T8001; (ii) que el área de la PARCELA T8001 se encuentra debidamente protegida por lo establecido en la presente cláusula; y, (iii) la prohibición de entrar a la PARCELA T8001 y/o disponer de cualquiera de los recursos que se encuentran dentro de la misma.

Los DONATARIOS o cualquier otra tercera persona no podrá realizar cualquier actividad que implique la afectación de los restos aborígenes –entendidos éstos de la manera más amplia posible- que se encuentran dentro de la PARCELA T8001.

7.2. Las partes dejan expresa constancia que los DONATARIOS, así como aquellas personas que adquieran –mediante cualquier acto jurídico- alguna de las atribuciones propias del derecho de propiedad sobre la PARCELA T8001, deberán permitir a los miembros de las tribus indígenas nativas del área de la PARCELA T8001 el uso y disfrute de la misma.

Asimismo, las partes dejan claramente establecido que cualquier acto de disposición que implique la transferencia y/o cesión de alguna de las atribuciones propias del derecho de propiedad sobre la PARCELA T8001 deberá sujetarse a las restricciones y obligaciones establecidas en la presente cláusula.

7.3. Cada una de las estipulaciones establecidas en los numerales 7.1. y 7.2. anteriores serán aplicables hasta que: (i) una autoridad competente, de acuerdo a lo establecido en el presente CONTRATO, emita una resolución que declare la imposibilidad del cumplimiento de dicha restricción y/o obligación; o, (ii) la PARCELA T8001 sea expropiada por alguna autoridad competente, de acuerdo a lo establecido en el presente CONTRATO, en cuyo caso dichas obligaciones y restricciones se extinguirán solamente sobre el área de la PARCELA T8001 que haya sido objeto de la expropiación.

OCTAVA: DE LAS CONDICIONES DE LA DONACIÓN

Cada terreno de la PARCELA T8001, donado a favor de los DONATARIOS, se identificará por una latitud/longitud única; para dicho efecto, el terreno a calcularse tomará como punto de partida la latitud/longitud noroccidental del terreno y comenzará a computarse conforme a los siguientes datos.

En virtud a lo anteriormente señalado, el terreno de la PARCELA T8001 que le corresponderá recibir a cada uno de los DONATARIOS ascenderá a 0.050607 hectáreas y será identificado conforme a lo establecido en el Anexo 1 del CONTRATO.
Asimismo, se deja expresa constancia que los DONATARIOS podrán recibir más de un terreno de la PARCELA T8001.

Sin perjuicio de ello, queda claramente establecido que los efectos que genere el CONTRATO quedan condicionados a que los DONATARIOS expresen –de manera conjunta y por escrito- la voluntad de aceptar la presente donación y recibir la PARCELA T8001 en los términos y condiciones pactados en el presente CONTRATO.

NOVENA: RENUNCIA A LA REVERSIÓN

WARRIOR T8 declara expresamente que –salvo por lo establecido en el párrafo inmediato siguiente- renuncia a la reversión de la donación efectuada en virtud al CONTRATO; en consecuencia, los DONATARIOS, a partir de la recepción de la comunicación mencionada en el tercer párrafo de la cláusula inmediata anterior, podrán disponer libremente de la propiedad sobre la PARCELA T8001.

Sin perjuicio de lo establecido en el párrafo inmediato anterior, se deja expresa constancia que WARRIOR T8 podrá solicitar la reversión de la presente donación en caso llegue a verificar que alguno de los DONATARIOS incumple con cualquiera de las obligaciones establecidas en la cláusula Séptima del CONTRATO DE COMPRAVENTA.

DÉCIMA: DE LA LEGISLACIÓN APLICABLE Y LA SOLUCIÓN DE CONTROVERSIAS

Las partes establecen que en todo lo no previsto y estipulado en el presente CONTRATO, será de aplicación lo estipulado en: (i) los artículos 1621º y siguientes del Código Civil Peruano sobre la donación; y, (ii) en las demás leyes aplicables para este tipo de contrato en el ordenamiento jurídico de la República del Perú.

Todo litigio, controversia, desavenencia o reclamación resultante, relacionada o derivada del CONTRATO o que guarde relación con el mismo, incluidas las relativas a su validez, eficacia o terminación será sometida expresamente a la jurisdicción de los jueces y tribunales de Loreto; para tal efecto, las partes renuncian al fuero de sus domicilios.

En virtud a lo establecido en el párrafo inmediato anterior, las partes deberán tener en cuenta como domicilio legal y válidamente constituidos –para el caso de WARRIOR T8- el señalado en la parte introductoria del presente CONTRATO. Asimismo, se deja expresa constancia que WARRIOR T8 deberá tener en cuenta como domicilio legal y válidamente constituido –para el caso los DONATARIOS- aquel domicilio que se señale en la comunicación mencionada en el tercer párrafo de la cláusula segunda del CONTRATO.

DÉCIMO PRIMERA: SEPARABILIDAD DE LAS CLÁUSULAS

Las partes dejan constancia que las cláusulas del CONTRATO son separables y que la nulidad, invalidez o ineficacia de una o más de ellas no perjudicará a las restantes. Asimismo, es la intención de las partes sustituir cualquier término, apartado o cláusula inválida, nula, o anulable por una cláusula o apartado válido y exigible en unos términos lo más similares posible a la cláusula o apartado inválido, nulo o anulable. Por ello, en el supuesto de que cualquier apartado o cláusula del presente CONTRATO fuera declarado nulo o no exigible por un tribunal, juez, autoridad o árbitro competente, las partes acordarán su sustitución por otra cláusula válida pero con unos términos y efecto –legal y económico- lo más equivalentes posibles a los del apartado o cláusula original.

DÉCIMO SEGUNDA: DE LOS GASTOS

Todos los gastos notariales y regístrales que se deriven de la presente donación, incluyendo los testimonios de la Escritura Pública que el presente CONTRATO origine, para cada una de las partes, serán de cargo y cuenta de WARRIOR T8.

Agregue usted, Señor Notario, lo demás que fuere de ley y cuide de enviar los partes correspondientes a los Registros Públicos correspondientes para la inscripción del presente CONTRATO.
